1. What Aptsmith is
Aptsmith is business software you subscribe to. The platform gives you an account, a public address for your business at yourbusiness.aptsmith.com, and a marketplace of modules you add to it. A module is a tool, for example taking bookings. Some modules are built by us and some by other developers.
Your subscription also includes an assessment, which you take yourself and which sets how the platform arranges itself around the way you work. The results are yours to keep, and yours to change.
We host the platform and your records. We do not run your business, do not contact your clients on our own initiative, and are not a party to anything you agree with them.
2. Your account
- You must be at least 18 and able to enter a contract.
- Give us accurate details and keep them current. We use your email address for everything that matters, including receipts and notices about these terms.
- Your sign-in is yours. Keep it to yourself, and tell us promptly if you think somebody else has it. Anything done with your sign-in is treated as done by you.
- One person or business per account. You may not resell access, or sign up on behalf of somebody we have already suspended.
3. Team members
You can invite people to work in your account. An invitation goes to one email address and can only be accepted by that address. Team members work inside your account, see the account the way you see it, and cannot buy modules, change billing, or invite anybody else.
You are responsible for what the people you invite do in your account, and for removing them when they leave. Removing somebody takes their access away immediately; it does not delete the work they did.
There is no per-seat charge today. If that ever changes we will tell you before it applies to you, on the same 30 days' notice as any other price change.
4. Subscription and billing
The price and the renewal
The platform is $49 a month, charged to the card you give us when you subscribe and on the same day each month after that until you cancel. Prices are in US dollars and exclude any tax we are required to collect.
Your card details go straight to Stripe and are held by Stripe. We never see or store a full card number.
Canceling
You can cancel at any time from your billing settings. Canceling stops the next charge. Your account stays open until the end of the period you have already paid for, and then your access pauses. We do not pro-rate a part month.
Refunds
Cancel within your first 30 days and we refund that month in full. No conditions beyond asking us inside the 30 days. That is the guarantee we publish on our pricing page and it is part of this agreement.
After that, payments are not refundable, though we would rather hear from you than have you feel stuck with something that is not working.
Failed payments and price changes
If a payment fails we will tell you and try again. If it keeps failing we may pause your access until it is settled. A paused account keeps its data.
We can change the price. If we do, we will tell you by email at least 30 days before it applies to you, and you can cancel before then.
5. Modules
Modules are bought once, not rented. Some are included in your subscription and some carry a one-time price, which the module's page shows before you buy. A module you have bought stays on your account, and is still there if you pause your subscription and come back later. We do not take a share of what your own clients pay you, on any module.
Modules built by other developers are their software, not ours. We review what we list and we state who built each one, but the developer is responsible for how their module works and for supporting it. Anything a module tells you about what it does, and any separate terms it asks you to accept, are between you and that developer.
What we do control: a module runs in your browser and never sees the platform's own credentials. It reads and writes only the records belonging to the account it is installed on, through an interface we police.
6. Taking payment from your own clients
If a module takes payment, it does so through your own Stripe account, which you connect yourself. This matters, so plainly:
- The money goes to you. Your client's payment settles into your Stripe account. It does not pass through us, and we take no cut of it.
- You are the seller. The sale is between you and your client. You set the price, you deliver the service, and you handle refunds, disputes, chargebacks and complaints.
- Stripe's terms apply to you directly. You have your own agreement with Stripe. We cannot override it, and we cannot resolve an issue with your Stripe account on your behalf.
- Tax is yours. Working out, collecting and remitting any sales, use or other tax on what you sell is your responsibility, not ours.
Where a module holds a time or a place until payment clears, that hold is a feature of the module and not a promise from us. If the payment never completes, the hold is released.
You can disconnect Stripe at any time from your apps settings, and we lose access immediately. Anything already paid is unaffected.
7. Your data and your clients' data
Your records stay yours. That includes what you type into a module and everything your clients give you through a page you publish: their names, contact details, appointments, form answers and anything you note about them.
You give us permission to store and process that material so we can run the platform for you, and nothing more. We do not sell it, and we do not use it to advertise to you or to anybody else.
Where your clients' personal information is concerned, you decide what is collected and why; we hold it on your instructions. That makes some things your job:
- Tell your clients what you collect and why, in your own privacy notice.
- Have a lawful reason to collect it, and consent where consent is required.
- Answer your clients when they ask you to show, correct or delete what you hold. The platform gives you the tools to do it.
Our privacy policy explains what we do with all of it and who else it touches.
8. Acceptable use
Do not use Aptsmith to:
- break the law, or help somebody else break it
- sell or promote anything we are not willing to be associated with, including weapons, illegal drugs, sexual services, or schemes whose returns depend on recruiting other people
- deceive people about who you are, what they are buying, or what it costs
- harass, threaten or abuse anyone, including through Connections or support
- upload malicious code, or try to get at another account's data, our infrastructure, or credentials that are not yours
- hammer the platform with automated requests beyond what your own use needs, or work around a limit rather than asking us about it
- scrape the platform, or copy it in order to build a competing product
We can suspend an account that is doing any of this, and we will tell you why. Where the harm is ongoing we may act first and explain immediately afterwards.
9. Email and text messages you send
Modules can send messages to your clients on your behalf, and more of them will over time. When that happens you are the sender, not us. These rules apply to anything you send through the platform.
- Only send to people who gave you their address for that purpose. No bought, rented, scraped or harvested lists, ever.
- Marketing email must say who it is from, must carry a working unsubscribe link, and must include a physical postal address. Honor an unsubscribe promptly. We keep a suppression list and will refuse to send to an address on it.
- Transactional messages, a booking confirmation or a receipt, are different from marketing, and dressing marketing up as a receipt is a breach of these terms.
- You may send from our sending domain or connect your own Gmail, Outlook or sending service. Reputation earned on our domain is shared, which is why we will act quickly on complaints.
- If you use open and click tracking, say so in your own privacy notice. Knowing that a named person opened your message at a particular time is information about that person, and some places treat it as needing consent. The tracking is a tool we give you; telling your clients about it is your job.
Text messages
Text messaging is not available yet. When it is, these rules apply from the first message:
- Get express written consent before texting anybody, and keep a record of when and how you got it. Consent to receive a booking confirmation is not consent to receive an offer.
- Identify yourself in the message, and say how to stop. Honor STOP, END, QUIT, UNSUBSCRIBE and CANCEL immediately and permanently.
- Respect quiet hours and the rules that apply where your recipient is. Do not text a number on a do-not-call list without a relationship that permits it.
- Message and data rates are your recipient's, and carriers may filter or block traffic for reasons outside anybody's control. We cannot guarantee delivery.
Why this is strict. Text messaging law in the United States carries penalties per message, and they fall on the sender. The rules above are what keeps that from landing on you.
You are responsible for complying with the CAN-SPAM Act, the Telephone Consumer Protection Act, state messaging and privacy laws, and carrier requirements. If a complaint, a filtering action or a regulator reaches us because of what you sent, we may suspend sending from your account while we sort it out.
10. Apps you connect
You can connect other services you already use, for example Stripe, Google or Microsoft. You authorize each one yourself and can disconnect it at any time from your apps settings, which takes our access away immediately.
Those services are not ours. Your use of each is governed by your agreement with that company, they can change or withdraw access on their own terms, and we are not responsible for their outages, their decisions or their charges. We ask for the narrowest permissions a feature needs and store the resulting keys encrypted.
11. AI connections
You can connect your own AI subscription, for example Claude or ChatGPT, and work with your Aptsmith account through it. Your AI subscription is with that provider, on their terms and at their cost. We do not resell it and we do not pay for it.
- Scope. A connection reaches one account: yours. It cannot see another customer's data through you, and a team member's connection is narrower than an owner's.
- Actions. What an AI may do is decided by the module, not by the AI. Anything destructive asks you to confirm first, and deletions can be restored for 30 days.
- Judgment. AI output can be wrong, including confidently. Check anything that matters before acting on it. It is not legal, tax, medical or financial advice, and we are not liable for a decision you make on the strength of it.
- Revoking. You can disconnect an AI connection at any time, and its access ends at once.
12. Connections and support messages
Connections lets account owners message each other. There is no directory and no way to search for a person: a connection only starts when somebody shares their code and the other person accepts. Either side can end it.
Messages between people are theirs. We do not read them to build a profile, to train anything, or out of curiosity. We may access them where we have to: to investigate a report of abuse, to fix a fault you have asked us to fix, or where the law requires it.
Messages you send to support reach us and are kept so we can help you. Our support team can start a conversation with you; other account owners cannot, unless you have connected with them by code.
13. Who owns what
Aptsmith, its software, its design and its name are ours and stay ours. Your subscription buys the right to use the platform, not a copy of it. Do not copy, decompile or resell it.
Your content is yours, including your logo, your copy, your records and your clients' information. You grant us only the permission we need to store, back up, display and process it in order to provide the service to you.
If you send us an idea or a suggestion, we may use it without owing you anything for it. Please do not send us anything confidential that way.
14. Availability, and what this is today
Aptsmith is early. We are honest about that on the site and we will be honest about it here: features are still arriving, some will change, and we do not offer a service level agreement or an uptime guarantee at this stage.
We will give you reasonable notice before we remove a feature you rely on, and we will not remove your ability to get your data out.
15. Ending the agreement
You can cancel at any time. We can end or suspend an account that breaks these terms, that we are legally required to stop serving, or whose payments have failed and stayed unpaid.
Canceling and deleting are different things, and the difference matters. Canceling stops the billing and pauses your access at the end of the period you paid for. Your records stay where they are, and you can come back.
Deleting your account is immediate and permanent. There is no grace period. Your accounts, your records and your uploaded files are removed and so is your sign-in, and we cannot get any of it back for you. Export your data first: it is one button in your settings and it takes everything, your records and your files, in a single download.
What we are required to keep, for example billing records for tax purposes, is in our privacy policy.
16. Disclaimers and liability
The platform is provided as it is. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise the service will be uninterrupted or error free, and we are not responsible for a third party service you connect, or for a module built by somebody else.
To the fullest extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data. Our total liability to you for any claim is limited to what you paid us in the twelve months before the claim arose.
You will indemnify us against claims arising from what you sell, what you send, what you collect from your clients, and your breach of these terms. Nothing here limits liability that cannot be limited by law.
17. Changes to these terms
We can change these terms. If a change matters to you, we will email you at least 30 days before it takes effect and the date at the top will change. Using the platform after that date means you accept the new version. If you do not, cancel before it applies.
18. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Sheridan County, Wyoming, and we each consent to their jurisdiction.
Before filing anything, email us. Most of what reaches a lawyer could have been settled in a week by someone reading the message.
If any part of these terms is found unenforceable, the rest stays in force. Not enforcing something once does not waive it.
